Terms of Service for Collectopedia

1. Introduction and Acceptance of Terms
Welcome to Collectopedia ("we,", "us,", "our"). We provide an online platform designed to help collectors manage their collections, track their value, and get price estimations (the "Service"). These Terms of Service ("Terms") govern your access to and use of the Collectopedia website, applications, and services.
By accessing or using the Service, creating an account, or clicking a button or checking a box marked "I Agree" (or similar), you signify that you have read, understood, and agree to be bound by these Terms and our accompanying Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you may not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the new Terms on the Service or by sending you an email (if you have provided one). Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
2. Description of Service
Collectopedia provides users with tools to:
- Catalog and organize collectibles (e.g., action figures, vintage items).
- Upload information and images related to their collection items.
- Track financial aspects of their collection, such as purchase price and estimated market value.
- Receive estimated market prices for items, potentially sourced from third-party services like the eBay API.
- Access potential premium features or subscriptions (details outlined separately if applicable).
The Service is provided "as is," and we may modify, suspend, or discontinue parts of the Service at any time without notice.
3. User Accounts
- Registration: To access most features of the Service, you must register for an account. We use Clerk, a third-party service, for authentication. Your registration and use of Clerk are subject to Clerk's own terms and privacy policy. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
- Account Security: You are responsible for safeguarding the password or credentials used to access the Service (managed via Clerk) and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with these security obligations.
- Eligibility: You must be at least 16 years old (or the age of legal majority in your jurisdiction) to create an account and use the Service. By agreeing to these Terms, you represent and warrant that you meet this age requirement.
4. Use of the Service and User Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable local, national, or international law or regulation.
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Collectopedia or users of the Service or expose them to liability.
- Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service.
- Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service, without our prior written consent.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored (managed by Supabase), or any server, computer, or database connected to the Service.
- Upload or transmit viruses, Trojan horses, worms, or other material that is malicious or technologically harmful.
- Misrepresent the identity, condition, authenticity, or value of items cataloged using the Service.
5. User Content
- Your Content: You retain ownership of the information, data, text, images, and other materials you upload or submit to the Service ("User Content"), such as details and photos of your collectibles.
- License Grant to Us: By submitting User Content, you grant Collectopedia a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our business, including for promoting the Service. This license is necessary for us to operate the Service (e.g., store your data on Supabase, display your collection to you). This license ends when you delete your User Content or your account, except to the extent your content has been shared with others and they have not deleted it, or for backup/archival purposes.
- Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content you submit and to grant the license set forth above. You agree that your User Content will not contain third-party copyrighted material, or material that is subject to other third-party proprietary rights, unless you have permission from the rightful owner or are otherwise legally entitled to post the material.
- Monitoring: We have the right, but not the obligation, to monitor, review, or remove User Content at our discretion if it violates these Terms or applicable law, or for any other reason.
6. Intellectual Property Rights
Excluding your User Content, the Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Collectopedia, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, without our express written permission.
7. Payments and Subscriptions (If Applicable)
- Fees: Certain features of the Service may require payment of fees (e.g., subscription plans). All applicable fees will be clearly disclosed to you before you incur them.
- Billing: We use Stripe, a third-party payment processor, to bill you through a payment account linked to your Collectopedia account. The processing of payments will be subject to Stripes terms, conditions, and privacy policies in addition to these Terms. We are not responsible for errors by Stripe. By choosing to use paid features, you agree to pay us, through Stripe, all charges at the prices then in effect for any use of such features and authorize us, through Stripe, to charge your chosen payment provider.
- Subscription Renewals: If you purchase a subscription, it may automatically renew for successive periods unless you cancel it before the end of the current subscription period. We will charge the subscription fee to your payment method on file.
- Cancellations: You can cancel your subscription at any time through your account settings or by contacting us. Cancellations will take effect at the end of the current billing cycle. No refunds will be provided for partial subscription periods.
- Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any price changes.
8. Third-Party Services and Links
The Service relies on and may integrate with third-party services not owned or controlled by Collectopedia, such as Clerk (authentication), Supabase (backend/database), Stripe (payments), and potentially APIs like eBays (for pricing data). We are not responsible for the practices, terms, or policies of these third parties. Your interactions with these third parties are solely between you and them.
The Service may also contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources.
9. Disclaimers
- "As Is" Basis: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
- No Guarantee of Accuracy: COLLECTOPEDIA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT, INCLUDING PRICE ESTIMATIONS. PRICE ESTIMATIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND ARE BASED ON DATA FROM THIRD-PARTY SOURCES (E.G., EBAY API) WHICH MAY NOT BE ACCURATE, COMPLETE, OR UP-TO-DATE. WE ARE NOT RESPONSIBLE FOR ANY FINANCIAL DECISIONS MADE BASED ON THESE ESTIMATIONS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE VALUE AND AUTHENTICITY OF YOUR COLLECTIBLES.
- User Content: WE DO NOT ENDORSE, SUPPORT, REPRESENT OR GUARANTEE THE COMPLETENESS, TRUTHFULNESS, ACCURACY, OR RELIABILITY OF ANY USER CONTENT POSTED VIA THE SERVICE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COLLECTOPEDIA, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (c) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING PRICE ESTIMATIONS; OR (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF COLLECTOPEDIA EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID COLLECTOPEDIA, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Collectopedia, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Services content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service (including price estimations).
12. Termination
- By You: You can stop using the Service and delete your account at any time through your account settings or by contacting us.
- By Us: We may suspend or terminate your access to all or part of the Service at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to, violation of these Terms, prolonged inactivity, or requests by law enforcement.
- Effect of Termination: Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in the United Kingdom, using the English language in accordanceance with the Arbitration Rules and Procedures of [Choose Arbitration Service, e.g., JAMS] then in effect. Judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. 14. Miscellaneous
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Collectopedia regarding the Service and supersede all prior agreements or understandings.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null. We may freely assign or transfer these Terms without restriction.
